Buyer Agreement

Recitals

A. arabazaar.com operates a digital B2B marketplace that facilitates business discovery and communication between buyers and sellers.

B. Buyer wishes to discover suppliers and engage in direct commercial discussions through the Platform.

1. Interpretation

• 1.1 This Agreement governs Buyer access to and use of the Platform.
• 1.2 This Agreement does not create partnership, agency, employment, joint venture, or fiduciary relationship between Buyer and Dealtrix.
• 1.3 Dealtrix is not a party to any transaction, payment, shipment, refund, or dispute between Buyer and any seller.
• 1.4 Dealtrix may update this Agreement at any time.
• 1.5 Dealtrix may modify, suspend, or discontinue any aspect of the Platform without liability.

2. Eligibility

To use the Platform as a Buyer, you represent and warrant that:

• You are at least 18 years of age
• You have authority to act on behalf of a business entity (if applicable)
• You will provide accurate, current, and lawful information

3. Buyer Responsibilities

• All supplier discovery and engagement is conducted at Buyer discretion
• Buyer is solely responsible for verifying sellers, products, certifications, and compliance
• Buyer must conduct independent due diligence before any transaction
• Buyer is responsible for negotiating prices, terms, delivery, warranties, and refunds
• Buyer complies with all applicable laws, including import, customs, tax, and trade regulations

4. Communication with Sellers

The Platform enables direct communication between buyers and sellers.

All communications are directly with sellers; Dealtrix does not verify seller claims.

5. Transactions with Sellers

arabazaar.com does not facilitate payments, contracts, invoices, shipping, returns, or refunds.

6. Payments, Returns & Taxes

All payments are direct between Buyer and seller. Buyer is responsible for duties, taxes, customs compliance, and approvals.

7. Third-Party Services

• Buyer may choose third-party services such as logistics providers, payment gateways, or inspection agencies.
• Dealtrix does not control or endorse such services and is not liable for their performance.

8. Limitation of Liability & Indemnity

Buyer agrees to indemnify and hold harmless Dealtrix from claims arising from Buyer transactions, non-compliance, or disputes.

Dealtrix is not liable for indirect, incidental, consequential, or punitive damages.

Dealtrix aggregate liability, if any, does not exceed USD 100 per calendar year.

9. Intellectual Property

• All Platform content, design, and branding are owned by or licensed to Dealtrix.
• Buyer may not copy, distribute, or exploit Platform content without prior written consent.

10. Termination

• Buyer may deactivate their account at any time.
• Dealtrix may suspend or terminate Buyer access at its discretion.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. Courts located in India have exclusive jurisdiction.

12. Entire Agreement

This Agreement constitutes the entire agreement between Buyer and Dealtrix concerning use of the Platform.
